Events

IHEA sponsors and variety of industry meetings and events.  IHEA membership and division meetings provide a forum where executives from member companies can meet together with authorities and experts to discuss problems of concern to the industry. Panels and organized discussion groups consider issues and problems of current interest.

IHEA's holds two Association meetings year:  the Annual Meeting in the Spring, and the Fall Business Conference in the Fall.  The Annual Meeting of Member Company representatives is held during the first quarter of the calendar year for receiving annual reports and the transaction of other business. The three day meeting includes business reports, division meetings, presentations by guest speakers of current topics and matters of interest to companies, and round table discussions. The meeting is held at a location selected by the Board of Directors. The Fall Business Conference is held for the purpose of bringing together IHEA member company representatives in committee meetings and briefing sessions to discuss problems and hear from experts on matters in which there is a present concern. Members have an opportunity to focus on such issues as energy, environment, international trade and other association related topics.  Both the Annual Meeting and the Fall Business Conference are for Members only.

Compliance with Antitrust and Other Laws

IHEA retains legal counsel to monitor all aspects of association activities.  This monitoring includes attendance at meetings and review of agendas, minutes and programs to assure strict compliance with the antitrust laws as well as with various codes, regulations and statutes of the Unites States.  It is IHEA’s policy that should anyone become aware of attempts to violate the federal antitrust laws, it is the duty of that person to notify the Association’s legal counsel and staff immediately so that corrective action may be taken.  It should be noted that this has never been necessary.

IHEA Policy Statement on Meetings
Meetings are gatherings of members at which the Association’s business is transacted and represent the opportunity to legitimately further the Association’s goals.  Because a trade association is, by definition, a combination of competitors, IHEA meetings must be conducted to avoid even the appearance that members are taking common action which might unreasonably restrain trade.

IHEA meetings are carefully structured and monitored.  An agenda is prepared and circulated in advance, and is carefully followed at the meeting.  An IHEA staff member attends all IHEA meetings and is responsible for preparing the minutes of each meeting.  IHEA counsel attends all Association membership meetings, Board meetings, and other Association meetings at which sensitive issues are discussed and counsel reviews the minutes of these meetings.  There are no informal meetings of the Association or any of its committees; discussion of Association matters must never occur outside of formal meetings.

It is difficult to delineate in a set of guidelines the permissible limits of discussion at an IHEA meeting because so much is dependent upon the context in which any particular subject is to be raised.  However, to avoid the most sensitive areas, there should never be a discussion of the following at an IHEA meeting:

  • Price or any elements of price or pricing policies, including costs.
  • Discounts, terms and conditions of sale, warranty terms, profits, market shares, sales territories, and rejection or termination of customers.
  • Identified individual company statistics, inventories, or merchandising methods.
  • Particular competitors.
  • Anything dealing with trade abuses or excluding or controlling competition.

By following these guidelines, the members can meet to transact lawful Association business for the betterment of our industries.
