Policy Statements

The governing body of the Association is the Board of Directors. Directors are elected for a period of three years. A President, First Vice President, Second Vice President and Treasurer are elected each year by the Board of Directors. Staff functions are managed by an Executive Vice President, who is appointed by the Board. The Association retains general counsel.

IHEA Member companies are enrolled in one or more product divisions according to the types of equipment they design or manufacture. Divisions organized to date are Furnace, Oven, Combustion, Infrared Equipment, and Accessory Equipment.

Note 1: The Board of Directors shall have supervision, control and direction of the affairs of the Association and shall actively prosecute its objectives and supervise the disbursement of its funds. The Board may adopt such rules and regulations for the conduct of its business as shall be deemed advisable, and may, in the execution of the powers granted, delegate certain of its authority and responsibility to the Executive Committee. The Board of Directors from their own membership elect a President, First V.P., Second V.P., and Treasurer during the Board meeting held in the Fall and take office at the regular meeting of the Board scheduled during the Annual Meeting.

Note 2: The Executive Committee may exercise the powers of the Board of Directors when the Board is not in session, reporting to the Board thereon at the succeeding regular meeting. Three members shall constitute a quorum for the transaction of business. Meetings may be called by the President or by two members of the Committee. The Executive Committee consists of the President, First V.P., Second V.P., Treasurer, Immediate Past President, and two at large members of the Board.

Note 3: The President shall annually appoint such standing, special or subcommittees as he deems advisable to assist in the proper functioning of the Association, or to carry out its objectives.
